LUXEMBOURG — Eurofins Scientific has agreed to acquire Element Materials Technology’s Life Sciences Testing Services business in North America for an enterprise value of $400 million.

The transaction remains subject to customary closing conditions, including regulatory approvals, and is expected to close in the fourth quarter of 2026.

Element’s North American Life Sciences Testing Services business provides biopharmaceutical product testing, environmental testing and food testing through a network of 27 laboratories and facilities.

The business employs about 750 full-time-equivalent workers and is expected to generate more than $150 million in annual revenue in 2026. Eurofins said its profitability is expected to be similar to the group’s average.

The acquisition will expand Eurofins’ BioPharma and Life businesses in North America, including in parts of the United States and Canada where the company has historically had a smaller presence.

Eurofins said the acquired operations will gain access to its broader range of customer services and the economies of scale provided by its established hub-and-spoke laboratory network.

The company said the transaction is consistent with its strategy of directing capital toward its core life sciences testing capabilities.

“We look forward to welcoming Element’s North American Life Sciences Testing Services teams into Eurofins,” said Dr. Gilles Martin, CEO of Eurofins. “This acquisition is a natural fit with Eurofins’ existing businesses, and can build on our well invested, efficient and digital laboratories platform to help drive unique levels of service to customers across the continent.”
