BURLINGTON, Mass. — Azenta Inc. said it has received full repayment of a $35 million secured vendor loan tied to the previously announced sale of B Medical Systems S.à r.l. to Thelema S.à r.l.
The loan was repaid ahead of maturity along with all accrued interest, and the share pledge securing the loan has been released.
The transaction closed on July 1, 2026, when Azenta Germany GmbH, a wholly owned subsidiary of Azenta, provided the $35 million secured term loan to Thelema as part of the sale.
With the repayment, Azenta said it has now received the full $63 million purchase price for B Medical Systems in cash.
“The repayment of the vendor loan completes the divestiture of B Medical Systems,” said Martin D. Madaus, M.D., Interim President and Chief Executive Officer of Azenta. “Azenta has now received the entire purchase price in cash, and the credit exposure associated with the transaction has been retired, supporting our disciplined approach to capital allocation.”
